Terms & Conditions

These Terms & Conditions govern access to our website and the purchase or use of our products and services. By requesting a quotation, approving specifications, making payment, placing an order, or using our services, you agree to these Terms and the accepted quotation or invoice. If you act for a company or other organization, you confirm that you have authority to bind it.

1. About Us and Scope

Iqra Embroidery Studio is a sole proprietorship based in Karachi, Pakistan. We provide apparel sourcing, custom apparel production, embroidery, DTF printing, sublimation, embroidery digitizing, vector conversion, and related textile and artwork services to businesses and individuals.

2. Contract Documents and Priority

The contract for an order consists of the accepted quotation or invoice, approved specifications and proofs, these Terms, and the referenced policies. If there is a direct conflict, a written term specifically agreed for the order takes priority over these general Terms. Customer purchase-order terms do not apply unless we expressly accept them in writing.

3. Quotations and Order Acceptance

A quotation is based on the information then available and is not an accepted order. Unless the quotation states another period, it is valid for 15 calendar days and may be revised before acceptance if specifications, quantities, exchange rates, taxes, freight, supplier pricing, or availability change.

An order is accepted only when we confirm it after specifications and payment arrangements are agreed. We may decline an order before acceptance, including because of availability, capability, legal or ethical concerns, pricing error, suspected fraud, or intellectual-property risk. If we cancel an accepted order without customer fault, we will refund the amount paid for the unfulfilled portion.

4. Prices, Taxes, and Payment

Prices are stated in the currency shown on the quotation or invoice, normally USD for international orders. Unless stated otherwise, prices exclude destination duties, import taxes, VAT/GST, brokerage, and similar charges.

Payment may be made through the method stated on the invoice, which may include Payoneer or bank transfer. Deposits and stage payments are applied to committed materials, services, and production capacity. Production and dispatch may be withheld until cleared funds and any required approvals are received. The customer is responsible for bank or intermediary charges unless agreed otherwise.

Undisputed overdue amounts may pause work and extend timelines. The customer should contact us promptly about a genuine billing dispute and must not initiate a chargeback for an amount already resolved or properly due.

5. Customer Responsibilities and Approvals

The customer must provide complete, accurate, timely, and lawful specifications, artwork, sizes, quantities, colors, addresses, importer details, and other required information. Delays or changes may affect price and schedule.

The customer must review all proofs, samples, mockups, size charts, spellings, colors, placement, and quantities. Approval authorizes production to those specifications. We remain responsible for a verified failure to follow the approved specifications, but not for an error already present and reasonably visible in what the customer approved.

6. Changes and Substitutions

A requested change is effective only after we confirm its feasibility and any revised price or timeline. We will not make a material substitution without approval. Where an exact item becomes unavailable, we may propose a reasonably comparable substitute; the customer may accept it or discuss another practical option.

7. Samples, Production Tolerances, and Color

A pre-production sample or physical color match is provided only when included or separately purchased. Screens and printers display color differently, and production processes may create reasonable variation. The approved sample, supplier specification, size chart, Pantone or other agreed reference, and any written tolerance form the acceptance standard for the order.

8. Intellectual Property and Customer Materials

The customer represents and warrants that it owns or has permission to use and authorize production from all logos, trademarks, designs, fonts, images, artwork, names, and other materials it supplies. The customer grants us and our production partners a limited license to use those materials only as reasonably necessary to quote, prepare, produce, quality-check, and deliver the order.

The customer is responsible for third-party claims arising from customer-supplied materials, except to the extent caused by our unauthorized use. We may refuse or suspend work that we reasonably believe infringes rights or is unlawful. Customer ownership is not transferred to us. We will not publicly display identifiable customer artwork or finished work as portfolio or marketing material without permission.

9. Our Website and Materials

Unless otherwise stated, our website text, branding, original graphics, photographs, layouts, and other materials are owned by or licensed to Iqra Embroidery Studio. You may view the website for legitimate personal or business evaluation, but may not reproduce, modify, distribute, scrape, or commercially exploit protected content without permission.

10. Confidentiality

Each party will use reasonable care to protect non-public business, pricing, technical, customer, artwork, and production information received from the other and will use it only for the order or relationship. This does not apply to information already lawfully known, public without breach, independently developed, lawfully received from another source, or required to be disclosed by law. We may share necessary confidential information with suppliers and service providers that need it to perform the order.

11. Shipping, Returns, and Refunds

The Shipping & Delivery Policy and Refund & Cancellation Policy form part of these Terms. Custom and digital products have restricted cancellation and return rights because work, materials, and production capacity are committed specifically for the customer.

12. Website Availability and Third-Party Services

We aim to keep website information accurate and the site available, but do not guarantee continuous, error-free, or secure operation. Product images are illustrative and may differ from final custom goods. Third-party websites, payment services, carriers, and other providers have their own terms and practices, for which they are responsible.

13. Force Majeure

Neither party is liable for delay or failure caused by an event beyond its reasonable control, including natural disaster, fire, flood, epidemic, war, terrorism, civil unrest, government action, sanctions, labor disruption, utility or internet failure, transport interruption, customs action, or critical supplier failure. The affected party should notify the other and take reasonable steps to reduce the impact. If the event prevents performance for an extended period, the parties will discuss a revised schedule, substitute, partial completion, or cancellation; the customer remains responsible for completed work and non-recoverable commitments.

14. Disclaimer and Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Subject to that:

These limitations apply to the fullest extent permitted by applicable law and reflect the custom nature and value of the services. The customer is responsible for maintaining copies of important digital files and for testing files or samples before wider use where appropriate.

15. Indemnity for Customer-Supplied Materials

To the extent permitted by law, the customer will defend, indemnify, and hold Iqra Embroidery Studio harmless from a third-party claim, loss, or reasonable cost arising from an allegation that customer-supplied materials or instructions infringe rights or violate law, except to the extent caused by our unauthorized modification or use.

16. Suspension and Termination

We may suspend or terminate work for non-payment, material breach, suspected fraud, unlawful instructions, intellectual-property risk, abusive conduct, or a safety concern. Where reasonably possible, we will provide notice and an opportunity to correct the issue. Termination does not remove payment obligations for completed work, delivered services, or non-cancellable commitments.

17. Notices and Electronic Communications

The parties may communicate and approve documents electronically. Email, messaging records, electronic files, and electronic approvals may be relied upon as evidence of communications and agreement, subject to applicable law. Formal notices should be sent to the contact details used for the order and are effective when received.

18. Governing Law and Disputes

These Terms and each order are governed by the laws of the Islamic Republic of Pakistan. The parties should first try in good faith to resolve a dispute through written discussion. If it is not resolved, the courts of competent jurisdiction in Karachi, Pakistan will have exclusive jurisdiction, except where applicable law gives a customer a non-waivable right to bring a claim elsewhere.

19. General Terms

If any provision is found invalid or unenforceable, it will be limited or removed only to the minimum necessary, and the remaining provisions will continue. A failure to enforce a provision is not a waiver. The customer may not transfer an order or these Terms without our written consent; we may use subcontractors and production partners while remaining responsible for our contractual obligations. These Terms do not create a partnership, agency, employment, or joint venture.

20. Changes to These Terms

We may update these website Terms from time to time. The version in effect when an order is accepted normally governs that order unless a later change is agreed or required by law. The current website version will display its effective or review date.
